BIOGRAPHY

Combining executive management experience with legal expertise, Mr. Nguyen Xuan Phuoc focuses on developing practical legal solutions aimed at protecting the legitimate rights and interests of businesses and investors.

Prior to joining Bizlawyer & Partners Law Firm LLC as a Senior Advisor, Mr. Nguyen Xuan Phuoc accumulated more than 20 years of experience in senior management positions, including Director of Project Development, Director of Legal & Compliance, and Advisor to the Board of Directors at leading corporations and financial institutions such as Masterise Group, Techcombank, and PVcomBank.

With core strengths in Investment & Project Development and M&A, he currently works closely with project developers from the early stages of land sourcing and land bank establishment. His comprehensive understanding of the entire project lifecycle enables him to develop effective solutions to legal challenges in large-scale projects, while also designing secure and optimized structures for complex M&A transactions and corporate governance matters.

REPRESENTATIVE EXPERIENCE

I. Project Development & Real Estate

• Led legal advisory services and implementation of legal procedures for a portfolio of more than 70 residential projects in key urban developments, including Vinhomes Ocean Park 1-2-3, Vinhomes Smart City, Co Loa, Dan Phuong, Bac Song Cam, and Nham Bien – Bac Ninh.
• Advised on resolving legal issues for BT projects in Bac Ninh, urban development projects in Quang Ngai, eco-tourism projects in Hoi An, office and commercial service developments in Thanh Tri, and various projects in Hanoi and Da Nang.
• Advised on resolving legal obstacles and completing certification procedures for more than 5,000 residential units in housing projects across Hanoi.
• Provided legal advisory services in relation to financing and subdivision planning for a new urban development project covering more than 200 hectares in Hung Yen.
• Advised on land bank development procedures along Ring Road No. 4 and for industrial parks and industrial clusters in Bac Ninh, Hung Yen, Ha Tinh, and Gia Lai.

II. M&A, Banking & Finance

• Advised on transaction structuring and implementation of an M&A transaction involving a fashion business with participation from investors from the United States, Hong Kong, and Japan, with a total transaction value exceeding VND 1 trillion.
• Advised on restructuring strategies and M&A transaction structures for a portfolio of tourism and resort real estate projects in Da Nang, including a 50-hectare resort complex, beachfront resorts, and condotel developments.
• Provided legal advisory services for syndicated loan facilities relating to large-scale industrial projects (soda ash, cement, and hydropower) with investment values amounting to several trillion Vietnamese Dong.
• Advised on and structured transactions for the acquisition and development of headquarters, branches, and transaction offices for one of Vietnam’s largest private commercial banks.
• Conducted legal due diligence and assessments of large-scale real estate projects used as collateral and proposed solutions to support debt restructuring objectives of credit institutions.

III. Corporate Governance

• Managed and organized the provision of ongoing legal services (acting as an in-house legal department) for a group of more than 10 companies operating in the finance, real estate, fashion, and retail sectors.
• Served as personal legal counsel, advising on legal risk management and protecting the rights, interests, and reputation of business owners, entrepreneurs, and public figures.
