Le Van Duong

BIOGRAPHY

Mr. Duong is a licensed attorney in Vietnam with extensive experience advising both domestic and international clients. He began his legal career as in-house counsel in 2006 for leading corporations, including Knight Frank Vietnam, Masan Resources, and Vingroup, before specializing in corporate and commercial advisory as well as mergers and acquisitions from 2016 onwards.

Prior to joining Bizlawyer, Mr. Duong served as a Partner and Head of the Hanoi Office of Indochine Counsel – Hanoi Branch, a Senior Associate at Jipyong Law LLC, a leading Korean law firm, and an Associate at YKVN.

REPRESENTATIVE EXPERIENCE

I. Mergers & Acquisitions

• Advised Vietnamese shareholders on the transfer of 100% equity interests in a logistics company to a Belgian investor.
• Advised Vietnamese shareholders on the transfer of 100% equity interests in a medical equipment group to a Japanese investor, with a transaction value of VND 285 billion.
• Advised a food manufacturing company on a new share issuance and the transfer of shares from Vietnamese shareholders to a Japanese investor, with a transaction value of VND 600 billion.
• Advised on two investment rounds involving the issuance of additional shares by an education company to foreign investment funds, with a total transaction value of USD 8 million.
• Served as lead counsel for a fintech company in raising USD 5 million in its first financing round.
• Advised on the transfer of all shares held by Vietnamese shareholders to a Japanese investor in a company operating one of Vietnam’s largest dairy processing plants, with a transaction value of VND 1,034 billion.
• Advised an Indian mining company on the acquisition of a quarry project in Quang Ninh Province valued at VND 80 billion.
• Advised a domestic healthcare group on the sale of its entire business system and assets to a Singaporean healthcare group, with total assets valued at VND 791 billion.

II. Investment

• Acted as legal counsel for foreign investors and foreign-invested enterprises in connection with investment projects and transactions in Vietnam, including IFC/World Bank, Bank of India – Ho Chi Minh City Branch, AmTrust North America, Inc., Extreme Networks, Inc., Swiss Singapore Overseas Enterprises Pte. Ltd., Vestas Wind Technology Vietnam LLC, Ecu Worldwide Vietnam JSC, Cisco Systems Vietnam Company Limited, FLSmidth A/S, Exclusive Networks Asia Pte. Ltd., Foxconn, Samsung Electronics, LG Electronics, Lotte, Daesang, NH Securities, Hyundai, POSCO, Sumika, Taixin, KEXIM, IBK, and Woori Bank.

III. Commercial Contracts and Contract Negotiation

• Advised a leading real estate and commercial conglomerate on drafting standard commercial agreements, sale and purchase contracts, and e-commerce contracts and policies.
• Advised and assisted a major mining company in relation to mining projects, joint ventures, private placements to foreign investment funds, FIDIC contracts, procurement and tendering contracts, and corporate bond issuances.

IV. Energy (Solar Power, Wind Power and Rooftop Solar)

• Served as lead counsel for NSN Group in the development of the 50MW My Hiep solar power project and the transfer of 100% equity interests from Vietnamese shareholders to a Japanese investor.
• Advised a domestic investor on project development and capital raising for wind power projects in Lam Dong Province with a combined capacity of 148MW.
• Advised a thermal power project with a capacity of 650MW on the sale of 30% of its shares to a Hong Kong investor.
• Advised a leading rooftop solar energy group on the development of domestic projects with a combined capacity of 17MW, issuance of convertible bonds to foreign investors, group restructuring into Singapore, and various corporate governance matters.
• Advised Vietnam National Oil and Gas Group (Petrovietnam) on a Production Sharing Contract (PSC) with a foreign partner.
