BIOGRAPHY

Guided by a strong belief in the critical role of businesses and investors in driving economic and social development, Mr. Duong Thanh Tam has dedicated his legal career to serving enterprises and investors since the very beginning of his entrepreneurial journey.

Prior to founding and becoming the Chief Executive Officer of Bizlawyer & Partners Law Firm LLC, Mr. Tam spent more than ten years serving as Head of Legal Department and Legal Director for several leading Japanese and American corporations, where he gained extensive legal expertise, practical experience, and exposure to advanced corporate cultures and management practices.

With more than 20 years of experience in legal practice and academic legal research, Mr. Tam has developed profound expertise in corporate governance, mergers and acquisitions (M&A), investment projects, real estate, commercial dispute resolution, and criminal matters involving violations of economic management regulations.

REPRESENTATIVE EXPERIENCE

I. Project Development and M&A

• Advised on and structured the acquisition of a company holding development rights to a resort real estate project in Da Nang City, valued at over USD 100 million, for a German investor.
• Represented clients in negotiations and successfully completed the acquisition of a commercial residential real estate project in Ho Chi Minh City, valued at more than USD 150 million, from Vietnam Rubber Industry Group.
• Provided legal advisory services for the acquisition of a commercial residential real estate project in Ho Chi Minh City valued at USD 200 million by a member of Bes Engineering Corporation.
• Conducted legal due diligence and negotiated transaction documents for the acquisition of a company holding development rights to an 80-hectare real estate project in Long An Province by a Singaporean investor.
• Advised a Chinese investor on a share acquisition transaction to become a strategic shareholder of VINASINO Electrical Equipment Joint Stock Company.
• Advised on the establishment of a new investment project in Ho Chi Minh City for Fong Kai Business Group, with an investment value exceeding USD 100 million.
• Conducted comprehensive legal due diligence to support investors in completing the divestment process from a project of Inoue Rubber Vietnam Co., Ltd.
• Advised and conducted legal due diligence on real estate assets in connection with the expansion project of Jinko Solar Vietnam Industry Co., Ltd.

II. Litigation and Dispute Resolution

• Represented and protected clients’ lawful rights and interests in the criminal case involving “Giving Bribes; Receiving Bribes; Abuse of Position and Power in the Performance of Official Duties; and Violations of Bidding Regulations Causing Serious Consequences” at the Medical Construction Project Management Board under the Bac Ninh Department of Health and related entities.
• Represented clients in the criminal case concerning “Violations of Construction Regulations Causing Serious Consequences” relating to several wind power plant projects in Dak Lak and Gia Lai Provinces.
• Successfully protected the rights and interests of more than 500 clients in a commercial contract dispute against Muong Thanh Group, a matter that became one of the direct factors leading to the issuance of Circular No. 03/2014/TT-BXD by the Ministry of Construction on 20 February 2014.
• Represented and protected the interests of more than 100 clients in disputes relating to the Cocobay Da Nang Project.
• Represented clients in commercial contract disputes arising from the Song Hau 1 Thermal Power Project.
• Represented clients in commercial contract disputes arising from the Thai Binh 2 Thermal Power Project.
• Protected clients’ rights and interests in commercial insurance disputes involving China Export and Credit Insurance Corporation.
• Successfully represented a multinational insurance company operating in more than 54 countries and its insured partner in a commercial dispute against one of Vietnam’s leading agricultural and food supply chain enterprises.
• Represented more than 40 corporate clients in disputes and complaints against competent state authorities concerning trade remedy measures imposed on steel billets.
