Hanoi Reduces Documentation and Shortens the Time for Enterprise Registration

This is a notable development under Resolution No. 12/2026/NQ-HĐND dated 2 June 2026 of the Hanoi People’s Council, regulating adjustments to administrative procedures in the field of enterprise registration within the city. Under the Resolution, from 1 July 2026, certain enterprise registration procedures in Hanoi will have their processing time shortened, certain dossier components reduced, and certain paper-form result templates reduced. The adjustment of administrative procedures in the field of enterprise registration is carried out comprehensively across three core areas, as follows:

1. Shortening the processing time for certain enterprise registration procedures

This is an important highlight aimed at accelerating market entry for economic entities. The processing time for dossiers has been adjusted downward. Pursuant to Article 6 of Resolution 12/2026/NQ-HĐND, certain enterprise registration procedures in Hanoi will have their processing time shortened to two (02) working days. These procedures include:

• – Registration for the establishment of a private (sole proprietorship) enterprise;
• – Registration for the establishment of a single-member limited liability company;
• – Registration for the establishment of a limited liability company with two or more members;
• – Registration for the establishment of a joint stock company;
• – Registration for the establishment of a partnership;
• – Enterprise registration for companies established on the basis of a division, split-off, or consolidation of a company;
• – Registration of the operation of a branch, representative office, or business location, and notification of the establishment of a branch or representative office abroad.

In addition, procedures such as registration of the cessation of operation of a branch, representative office, or business location, or the dissolution of an enterprise – including dissolution due to revocation of the enterprise registration certificate or pursuant to a court decision – will have their processing time reduced to only four (04) working days from the date of receipt of a complete dossier.

2. Reducing certain components of the enterprise registration dossier

With a view to optimizing the dossier-submission process, Resolution No. 12/2026/NQ-HĐND provides for the reduction of certain unnecessary documents that the managing authority is able to verify itself or may entrust to the enterprise’s own responsibility. The dossier components to be reduced include:

• – The company charter, applicable to most procedures for the establishment and conversion of enterprises;
• – A copy of the minutes of the meeting on the establishment of a branch or representative office of the enterprise, for procedures relating to the establishment of a domestic branch or representative office;
• – The minutes of the meeting of the Members’ Council concerning a change to the charter capital;
• – The most recent financial statement as of the time of the decision to reduce charter capital, in the case of a limited liability company with two or more members reducing its charter capital.

The enterprise is responsible for preparing, adopting, retaining, and bearing legal liability for these reduced documents itself. A valid dossier for each administrative procedure relating to enterprise registration, after the above dossier components have been reduced, must still contain all other required components and ensure that the declared content complies with the law on enterprise registration.

3. Reducing the number of paper-based result templates

To promote the application of information technology and synchronize the National Database, Hanoi is reducing seven (07) types of result templates used in enterprise registration, in accordance with the regulations of the competent central state authority. The templates to be reduced include:

• – The Notice of the directly managing tax authority;
• – The Notice of suspension of the enterprise registration procedure (applicable only to dossiers submitted online);
• – The Certificate confirming an enterprise’s notice of temporary suspension of business;
• – The Certificate confirming a branch’s/business location’s notice of temporary suspension of business, or a representative office’s notice of temporary suspension of operations;
• – The Certificate confirming an enterprise’s notice of resumption of business ahead of the previously notified time;
• – The Certificate confirming a branch’s/business location’s notice of resumption of business ahead of the previously notified time, or a representative office’s notice of resumption of operations ahead of the previously notified time;
• – The Notice that an enterprise is undergoing dissolution procedures.

Enterprises may look up the results of the above administrative procedures on the National Business Registration Portal, at: https://dangkykinhdoanh.gov.vn.

To ensure that Resolution 12/2026/NQ-HĐND is implemented in a synchronized and effective manner, the People’s Council has assigned the People’s Committee of the city with responsibility for organizing implementation, issuing detailed guidance, and directing specialized agencies to regularly review and assess the suitability of the Resolution to practical conditions. Implementation requires close coordination among the Department of Finance, the City Public Administrative Service Center, and other relevant agencies and units, so as to ensure that enterprises’ dossiers are processed smoothly, consistently, and within the competent authority’s jurisdiction and prescribed time limits.

The timely promulgation and implementation of Resolution No. 12/2026/NQ-HĐND is expected to create a breakthrough in administrative procedure reform and to enhance the competitiveness and administrative reform index of the capital, Hanoi, in this new period.
